Park Dental Partners agreed to acquire the dental services organization behind Village Family Dental, a 12-location practice network in Fayetteville, North Carolina, in a deal worth up to $46 million. The transaction marks the Nasdaq-listed dental group's entry into its fourth state.
The base consideration is $39.1 million, including 474,535 restricted shares valued at $9.2 million as rollover equity for the seller, with the rest paid in cash. The seller can earn up to $4.6 million in EBITDA-based payments and $2.3 million tied to employment terms, pushing total potential consideration to $46 million. Closing is expected later this year, subject to customary approvals.
Village Family Dental supports 26 general dentists and 22 specialists across six North Carolina communities, including Fayetteville, Hope Mills and Raeford. Under the deal, its DSO will operate as a Park Dental subsidiary providing management and administrative support, while the practices keep the Village Family Dental name and its five owner-doctors retain clinical decision-making authority.
Park Dental Partners entered its third state, Arizona, just seven months ago through a similar practice acquisition. The company now supports 222 doctors across 87 locations, and CEO Pete Swenson says the model is built to let doctor-led groups keep their identity and clinical autonomy while gaining scale. For independent dental groups weighing a sale, the deal shows how DSOs are structuring transactions to preserve local leadership rather than centralize decision-making, a distinction that matters to dentists wary of losing control after a buyout.
