Mathnasium Taps Bond Market With First Securitization

Mathnasium pledged its franchise royalties and fees as collateral for its first-ever securitization, a financing move few tutoring franchisors have attempted.

Mathnasium is borrowing against its own franchise system. KBRA assigned preliminary ratings to a new whole business securitization backed by the company's franchise agreements, royalties, and fees, the first time the tutoring franchisor has used the structure. Most whole business securitizations in franchising have come from national fast-food chains, not education brands, and the notes will refinance existing debt and cover transaction costs rather than fund new expansion.

A Financing Tool Built for Predictable Royalty Streams

Whole business securitization lets a franchisor bundle its recurring royalty and fee income into a bond-like instrument that institutional investors can buy, similar to what fast-food and quick-service chains have used for years. Mathnasium's deal pledges its existing and future franchise agreements, development agreements, intellectual property, and even equity in the issuing entity as collateral.

The Numbers Behind the Bet

Mathnasium runs roughly 1,290 learning centers in 11 countries, with 1,067 in the U.S. and Washington, D.C. The system generated about $461 million in sales over the year ending June 30 and served more than 120,000 students on average, scale that's unusual in a tutoring category where most franchisors still rely on bank loans rather than capital markets.

Why Franchisees Should Pay Attention

A securitization locks in debt service obligations tied directly to royalty collections, which means franchisor cash flow discipline becomes more important, not less. Franchisees rarely see securitization terms directly, but the structure signals how a franchisor plans to fund growth and refinance debt for years to come. That's a governance detail worth flagging in any franchise renewal conversation.
