Real Brokerage received final court approval in British Columbia on Friday for its acquisition of RE/MAX Holdings, clearing the last major hurdle before the deal closes. The companies expect to finalize the $880 million transaction on August 24, folding one of real estate's most recognized franchise brands into a technology-first brokerage platform.
Real is funding the deal with a $550 million credit facility from Apollo and Morgan Stanley, money that will refinance RE/MAX's existing debt and cover the cash portion of the purchase. RE/MAX brings a franchise network spanning more than 8,500 offices in 120 countries, but its revenue has declined for two straight quarters, a sign the combined company will need its projected cost savings to make the math work.
REMAX and its Motto Mortgage franchise arm are expected to keep operating under their existing brands and business models, at least for now. RE/MAX CEO Erik Carlson will step down at closing and join the new Real REMAX Group board, while Real COO Jenna Rozenblat takes over as president of the combined company.
The deal signals that even legacy franchise systems with shrinking revenue can still command a premium buyer when they carry global brand recognition and a large agent network. REMAX broker-owners now have a clear closing timeline, but two shareholder lawsuits over merger disclosures remain open, a reminder that a closed deal can still leave loose ends.
